Wholesale THCA Terms & Conditions
These Terms & Conditions govern all wholesale purchases of THCA flower, trim, and related products. They outline buyer eligibility, order terms, shipping responsibilities, liability, and dispute resolution.

Buyer Eligibility
Wholesale THCA products are offered only to businesses, distributors, processors, and licensed retailers. Buyers must:
- Be over 21 years of age (authorized representatives only).
- Provide valid business and/or hemp handler licensing if required by state law.
- Certify that all purchases are for lawful resale or processing and not for direct-to-consumer retail unless licensed.

Orders & Acceptance
Orders are binding upon confirmation by us in writing (email or portal acknowledgment). We reserve the right to reject or cancel orders for non-compliance, non-payment, or supply limitations. Minimum order quantities (MOQs) apply; see Buyer’s Guide.
Pricing & Payment
- All prices are quoted in USD unless otherwise specified.
- Payment terms: advance ACH/wire unless credit arrangements are made. No consumer credit cards accepted for THCA transactions.
- Volume discounts may apply; see Wholesale Prices.
- Late payments accrue interest at 1.5% per month (or the maximum allowed by law).
- Title to goods transfers upon carrier pickup scan; buyer assumes risk thereafter.

Shipping & Risk of Loss
We ship via common carriers (UPS, FedEx, freight). Risk of loss transfers to the buyer upon carrier acceptance. Buyers are responsible for:
- Providing accurate delivery information and ensuring legal import into the destination state.
- Inspecting shipments within 24–48 hours of delivery for quality and accuracy.
- Purchasing insurance or declaring value where appropriate; see Insurance Policy.

Compliance & Documentation
All shipments are accompanied by batch-matched Certificates of Analysis (COAs) from ISO/IEC 17025-accredited laboratories, documenting potency and safety results. Buyers agree to maintain records and comply with applicable federal, state, and local regulations, including but not limited to:
- USDA Hemp Rules (7 CFR Part 990)
- 2018 Farm Bill
- Destination state hemp or cannabis control laws.
Quality Control & Intake
Buyers must conduct intake QC within 24–48 hours of receipt, including:
- Visual and olfactory inspection for mold, foreign matter, or damage.
- Checking humidity and water activity (target 0.55–0.65 aw).
- Verifying COA batch IDs match received goods.

Refunds, Returns & Claims
Refunds and returns are subject to strict intake QC evidence and compliance with our Refunds & Returns Policy. Claims must be submitted with photographs, scale tickets, and COA copies. Non-conforming products may be refunded, replaced, or credited at our discretion.
Warranties & Liability Limits
- Products are sold “as is,” except as expressly warranted in COAs.
- We disclaim implied warranties of merchantability and fitness for a particular purpose.
- Our liability is limited to the purchase price of the goods at issue.
- No liability for consequential, incidental, or punitive damages.
Dispute Resolution & Governing Law
Disputes will be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), unless otherwise required by applicable law. The governing law is that of the State of Delaware, USA, without regard to conflict of law principles.
Changes to Terms
We may update these Terms & Conditions to reflect changes in law, operations, or industry standards. Material updates will be published on this page with a new “Last updated” date.

FAQs
When does risk of loss transfer?
Risk of loss transfers upon carrier acceptance (pickup scan). Insurance coverage is recommended.
Can I cancel an order?
Orders may only be canceled prior to confirmation. Confirmed orders are binding.
What happens if my state bans THCA?
We will not ship to states where THCA is restricted. Buyers are responsible for ensuring destination-state compliance.
Do you offer net payment terms?
Only with approved credit. Standard is ACH/wire in advance for wholesale THCA orders.
How are disputes resolved?
Binding arbitration under AAA rules, unless otherwise required by law.
